Description:

  • Assist with core financial due diligence – help to identify key risks and potential deal breakers, assess the strengths and weaknesses of the business, and assist with the evaluation of the potential transaction in the context of their clients’ investment strategy
  • Analyze detailed financial statement information including income statement, balance sheet, cash flow and key operational data. Organize the data into meaningful information that is used to drive discussions with target management and summarize key observations and conclusions. Assess the quality of the target company’s accounting policies and internal controls and resulting reporting
  • Assist in the preparation of financial due diligence reports and presentations for clients that highlight the key financial, business, and other findings related to target companies including the key drivers behind the reported amounts. Assist the team in identifying matters to be incorporated into the client’s sale/purchase agreement, and provide other negotiating points
  • Participate in meetings and conference calls with target company’s management and client personnel and serve as a client resource
  • Identify US GAAP departures included in target companies’ financial statements
  • Challenge assumptions related to future financial projections
  • Assist with preparation of Quality of Earnings and income statement analysis
  • Assist with preparation of Quality of Net Assets (Balance Sheet) and Working Capital analyses
  • Identify critical post-closing matters to be addressed to ensure improvements in profitability and cash flows
  • Prepare project data books

 

Manager Level Requirements:

  • 5 years minimum of public accounting experience, ideally auditing middle market companies
  • Current CPA license
  • Strong accounting and business acumen, including critical thinking and analytical skills
  • Impactful professional who enjoys building relationships with colleagues, clients and, executives
  • Able to manage multiple engagements and meet deadlines
  • Large CPA or advisory firm and prior transaction advisory experience helpful
  • Willingness to travel

 

Senior Resource Requirements:

  • Bachelor’s degree required, Master’s degree in Accounting preferred
  • A minimum of 3 years of public accounting audit experience, preferably serving middle market businesses (revenues up to $300 million)
  • Prior financial statement audit or financial analysis experience
  • Prior transaction advisory experience is a plus
  • Active CPA license
  • Ability to manage deadlines and multiple assignments, prioritizing each assignment as necessary
  • Demonstrated ability to communicate verbally and in writing throughout all levels of an organization, both internally and externally
  • Proficient use of applicable technology, notably MS Excel, MS Word and MS PowerPoint
  • Must be able to travel on short notice based on client and business needs, up to 10 to 15%
